1. Agreement to Terms

By accessing or using the Govara platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

These Terms apply to all users of the Service, including organizations, auditors, and individual users accessing the platform on behalf of their companies.

Govara provides a comprehensive governance and compliance management platform that includes:

• Audit management and tracking capabilities

3. Account Registration

3.1 Account Creation

To access the Service, you must register for an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your password and account
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use

3.2 Organization Accounts

If you register on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

4. Subscription and Payment

4.1 Subscription Plans

Access to the Service requires a paid subscription. We offer various plans with different features and limits. Details of current plans are available on our pricing page.

4.2 Free Trial

New organizations may be eligible for a one-time free trial. Trial terms and duration are specified at signup. Only one trial is permitted per organization.

4.3 Payment Terms

• Subscriptions are billed in advance on a monthly or annual basis
• All fees are non-refundable except as required by law
• Payment processing is handled securely through Stripe
• You authorize automatic recurring payments
• Failure to pay may result in service suspension or termination

4.4 Price Changes

We reserve the right to modify prices with 30 days notice. Continued use after price changes constitutes acceptance.

5. Acceptable Use

You agree not to:

• Violate any laws or regulations
• Infringe on intellectual property rights
• Transmit malicious code or interfere with the Service
• Attempt unauthorized access to any systems
• Use the Service for competitive analysis or building competing products
• Share login credentials or allow unauthorized access
• Misrepresent your identity or affiliation
• Submit false or misleading compliance information

6. Intellectual Property

6.1 Our Property

The Service and its original content, features, and functionality are owned by Govara and are protected by international copyright, trademark, and other intellectual property laws.

6.2 Your Content

You retain ownership of content you submit to the Service. By submitting content, you grant us a license to use, modify, and display that content as necessary to provide the Service.

6.3 Feedback

Any feedback you provide may be used by us without restriction or compensation to you.

7. Data Processing and Privacy

Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to our collection and use of data as described in the Privacy Policy.

For organizations subject to GDPR, we will enter into appropriate Data Processing Agreements upon request.

We acknowledge that compliance and governance data is highly sensitive. We commit to maintaining the confidentiality of your data and will not disclose it except as required by law or with your explicit consent.

9. Disclaimers and Limitations

9.1 No Legal Advice

The Service provides tools and information for governance and compliance management but does not constitute legal advice. You should consult with qualified professionals for specific legal or compliance guidance.

9.2 No Guarantee of Certification

Use of the Service does not guarantee successful certification or compliance with any framework or regulation.

9.3 Service Availability

While we strive for 99.9% uptime, we do not guarantee uninterrupted access to the Service. We are not liable for any downtime or service interruptions.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GOVARA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, OR GOODWILL.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless Govara and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service or violation of these Terms.

12. Termination

You may terminate your account at any time through your account settings or by contacting support.

We may suspend or terminate your account for violation of these Terms or for any other reason with notice.

These Terms constitute the entire agreement between you and Govara regarding the Service.

If any provision is found unenforceable, the remaining provisions will continue in effect.

Failure to enforce any right or provision does not constitute a waiver.
